(NYSE: RPM) announced the filing of a resale registration statement on Form
S-3 with the Securities & Exchange Commission pertaining to its Senior
Convertible Notes issued on May 13, 2003. The resale registration statement
was required to be filed pursuant to a Registration Rights Agreement entered
into with the initial purchasers of the Senior Convertible Notes. The
registration statement, once effective, will allow holders of the notes to
resell the securities covered by the registration statement. RPM will not
receive any of the proceeds from the resale of such securities.
A registration statement on Form S-3 relating to the notes has been filed
with the Securities and Exchange Commission, but has not yet become effective.
