- News) announced that the Securities and Exchange Commission today declared effective
its resale registration statement on Form S-3 pertaining to its Senior Convertible
Notes issued on May 13, 2003. The resale registration statement was filed pursuant
to a Registration Rights Agreement entered into with the initial purchasers of
the Senior Convertible Notes. The registration statement will allow holders of
the notes to resell the securities covered by the registration statement. RPM
will not receive any of the proceeds from the resale of such securities.
