Thomas C. Sullivan Sold Shares as Part of His Personal Estate Planning
MEDINA, Ohio, Jan. 10 /PRNewswire-FirstCall/ -- RPM International Inc.
(NYSE: RPM) announced today that Thomas C. Sullivan, chairman of the board of
directors, will file a Form 4 to report his sale of approximately 500,000
shares of RPM common stock.
Sullivan, 69, is a former officer of the company who received options in
1997 that cover the shares which are the subject of the Form 4. These
options, which were to expire in July 2007, were granted to Mr. Sullivan as a
final award in connection with the commencement of his final employment term
with the company. Accordingly, Mr. Sullivan has not been awarded any
additional stock options since that time. The sale of these shares is part of
Mr. Sullivan's personal estate planning. With the assistance of his
independent financial advisors, the transaction will enable Sullivan to both
diversify his personal holdings and raise cash for charitable donations.
After such sale, Mr. Sullivan will continue to beneficially own
approximately 231,500 shares.
